1. Acceptance of Terms

If you are accessing this Website on behalf of a corporation, partnership, or enterprise entity, you represent and warrant that you possess the authority to bind such entity to these Terms.

2. Scope of Services & Advisory Engagement

Nivedis specializes in high-velocity enterprise technical capabilities across five core domains:

• Cloud & DevOps Engineering: Cloud architecture, Kubernetes orchestration, CI/CD automation, and infrastructure-as-code across AWS, Azure, and Google Cloud Platform.
• Enterprise Integration Engineering: Multi-platform connectivity across MuleSoft, Boomi, Informatica, TIBCO, Azure Logic Apps, and Workato (Salesforce, SAP, Coupa).
• Applied AI & LLM Solutions: Retrieval-Augmented Generation (RAG), language model fine-tuning, workflow automation, and enterprise AI accelerators.
• Cybersecurity & Compliance: SOC2, ISO 27001, and GDPR compliance audits, vulnerability assessments, and threat mitigation frameworks.
• Specialist IT Staffing & Augmentation: Deployment of pre-vetted senior software engineers, integration architects, DevOps practitioners, and full-stack developers.

Informational Character: Website summaries, case studies, technology matrices, and capability overviews are provided for general informational purposes and do not constitute binding engineering specifications or professional warranties until incorporated into a formal contract.

3. Specialist Staffing & Talent Augmentation Terms

For organizations evaluating candidate talent benches through Nivedis:

• Candidate Presentations: Profiles, CVs, and technical portfolios shared during evaluation remain confidential and proprietary to Nivedis and the respective candidate.
• Right to Represent: Submitting candidate profiles establishes Nivedis's representation rights for the introduced talent with respect to the client organization for a standard period of 12 months.
• Direct Solicitation: Clients agree not to circumvent Nivedis by directly hiring or contracting introduced candidates without an executed commercial placement agreement.
• Deployment Verification: Client guarantees the right to interview, evaluate, and approve specialist engineers prior to project onboarding.

4. Intellectual Property Rights

A. Nivedis Proprietary Assets

All Website content, including visual layouts, branding, logos, graphics, text, code snippets, pre-built integration accelerators, and methodologies, is the exclusive intellectual property of Nivedis Technologies and is protected by copyright, trademark, and international intellectual property treaties.

B. Client Work Product & Deliverables

Under executed Statements of Work (SOWs), custom code, bespoke integrations, and software deliverables engineered specifically for the client are assigned 100% to the client upon full payment, with strict IP transfer and non-infringement covenants.

5. Confidentiality & Non-Disclosure

Both Nivedis and website users agree to maintain strict confidentiality regarding all proprietary information disclosed during discovery conversations, technical scoping audits, architecture evaluations, or talent recruitment inquiries.

Confidential information shall not be shared with third parties without prior written consent and shall be safeguarded using the same standard of care (and not less than reasonable care) as used for the receiving party's own proprietary materials.

6. Acceptable Use Policy

When interacting with the Website and our digital systems, you agree not to:

• Use automated scrapers, crawlers, bots, or harvesting tools to extract content, candidate data, or contact directories.
• Attempt unauthorized penetration testing, vulnerability scanning, or denial-of-service attacks against Nivedis infrastructure.

7. Disclaimers & Limitation of Liability

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to amicable mutual negotiation for 30 days, failing which it shall be resolved by binding arbitration under the Arbitration and Conciliation Act in Bangalore, Karnataka, India.

For international client contracts, governing law clauses specified in individual Master Services Agreements (e.g., State of Delaware, English Law) shall take precedence over Website terms.
